NOTICE IS HEREBY GIVEN THAT the 18th Annual General Meeting of NTUC Healthcare Co-operative Limited will be held at NTUC Centre, One Marina Boulevard, Room 801, Level 8, Singapore 018989, on Thursday 23rd September 2010, 5.30 pm to transact the following businesses:
AGENDA
1. To confirm the Minutes of the 17th Annual General Meeting held on 17 September 2009.
2. To consider and, if approved, to adopt the Director’s Report and the Audited Financial Statements of the Co-operative for the financial year ended 31st March 2010 together with the Auditors’ Report thereon.
3. To consider and, if approved, to declare a dividend of 4 cents per share for the financial year ended 31st March 2010.
4. Election / Appointment of Directors.
5. To consider and if approved, to appoint BDO Raffles as the external auditors for the year ending 31st March 2011 and to authorize the Board of Directors to fix their remuneration.
6. To approve the payment of honoraria to Directors for the year ended 31st March 2010.
7. To consider and if thought fit, approve (by not less than three-quarters of the members present and voting, subject to due quorum being present throughout the meeting):
(i) the amendments to the existing By-Laws of the Co-operative (“Amended By-Laws”) and the adoption of the Amended By-Laws in substitution for, and to the exclusion of, the existing By-Laws; and
(ii) the authorization of the Chairman and any two Directors to apply for the registration of the Amended By-Laws to the Registrar of Co-operative Societies and that any one or more Directors be authorized to take all steps and do all acts and things as they may deem fit, necessary and /or expedient to finalise, complete, implement and give full effect to the amendments and / or any part of these resolutions, with full power to assent to any conditions, modifications and / or variations including without limitation to any amendments as may be required by the Registrar of Co-operative Societies.
8. To transact such other businesses as may be properly transacted at an Annual General Meeting.
